OIL CAREER SERVICE AGREEMENT

1. INTRODUCTION. This Service Agreement is entered into between Oil Career Employment Resource Center, its successors and assigns, hereinafter, "Oil Career" and you, the member, hereinafter, "Member". Oil Career Employment Resource Center is a unique online oil employment resource center, which provides job seekers with specific resource that can aid in their job search. Oil Career is NOT a resume forwarding company as we no longer offer this service.

2. MEMBER'S ACCOUNT, PASSWORD, AND SECURITY. Upon registration, Members receive a password by email. Use of this password constitutes acceptance of this Agreement. You may use your password at any time to log into the member area (www.oilcareer.com/members.htm) to access our oil employment resources. You, the Member, are the only authorized user of your Oil Career account. Any unauthorized use of the Oil Career service will be grounds for termination of this Agreement by Oil Career

3. TERM OF AGREEMENT. Continued use of the members area constitutes acceptance of this Agreement and any future versions. Both parties hereto will be acting in an individual capacity and not as agents, employees, partners, joint venturers, or associates of one another.

4. PERFORMANCE. Oil Career shall be deemed to have performed its obligations under this Agreement by allowing access to the information in the members area to members. However, Oil Career reserves the right to refuse access to any member for any reason it deems appropriate. Oil Career does not provide any guarantee that a Member will secure employment through use of the resources available in the members area. Should any provision of this Agreement be found invalid, ineffective or unenforceable under present or future laws, the remainder of the provisions shall remain in full force and effect and shall in no way be affected, impaired or invalidated. No waiver of breach of any provision of this Agreement shall constitute a waiver of any other breach, or of such provision. Failure of Oil Career to enforce at any time any provision of this Agreement shall not be construed as a waiver thereof. The remedies reserved by Oil Career under this Agreement shall be cumulative and additional to any other remedies in law or equity.

5. SUBSCRIPTION REQUIREMENTS. You, the Member, by registering for our resume distribution service, hereby affirm that you are of legal age of employability as deemed by the governing authorities of the client's country of origin.

6. PAYMENT.
(a) Members must provide Oil Career with complete and accurate billing information, including legal name, address, telephone number, and credit card/billing information. Members are responsible for all charges to their credit card. Charges are billed to the Member's credit card as applicable. Payments made by check are due within 30 days after the Member's resume is received. Oil Career will not be liable for any interest or fees (e.g. for overdrawn accounts or for exceeding credit card limits, etc.) which are charged by the Member's bank or credit card company resulting from charges billed by Oil Career. Failure to make full payment constitutes breach of this Agreement and will result in the termination of services.
(b) Members having questions regarding charges to an account should contact Oil Career's Customer Service Department at 309-423-1199. All charges are considered final upon payment.

7. WEB SITE USAGE. Upon Completion of your registration, you will be entering your resume over the internet into our database of resumes. Your resume will then appear on the World Wide Web in the form of an individual page which will then be reviewed by employers who receive this page via email. You hereby grant Oil Career permission to enter your resume or C.V. as well as your personal photo into the web site which will become available on the World Wide Web. This web page will only be shown to our exclusive database of employers. All information and materials, copyrighted or otherwise, provided by you hereunder may be reproduced and disclosed by Oil Career provided that no charge is made to anyone for such reproduction and/or disclosure. OIL CAREER AND ITS EMPLOYEES, AGENTS, OR ASSIGNS ARE NOT LIABLE FOR ANY COSTS OF DAMAGES ARISING DIRECTLY OR INDIRECTLY FROM THE DISTRIBUTION OF YOUR RESUME AND PHOTO PROVIDED, INCLUDING ANY INDIRECT, INCIDENTAL, EXEMPLARY, MULTIPLE, SPECIAL, PUNITIVE, LIQUIDATED, OR CONSEQUENTIAL DAMAGES.

8. TERMINATION. Either party may terminate this Agreement at any time and for any reason. A Member must provide notice of intent to terminate to Oil Career by registered or certified mail to:


Oil Career will not offer any reimbursement of costs incurred by a Member's notice of intent to terminate. Termination by the Member will not result in any refund of registration costs, only the deletion of the Member's information from the members area of the Oil Career website.

Without prior notice, Oil Career may terminate this Agreement, your password, your account, or your use of the Services, for any reason, including, without limitation, if Oil Career, in its sole discretion, believes you have violated this Agreement, our Acceptable Use Policy, or any of the applicable user policies, or if you fail to pay any charges when due. Oil Career may provide termination notice to you by: email addressed to your email account or by US Mail or courier service to the address you provided for the services. All notices to you shall be deemed effective on the first (1st) calendar day following the date of electronic mailing or on the fourth (4th) calendar day following the date of first class mailing or deposit with a commercial courier service.

9. REMEDIES. If you are dissatisfied with the Services or any related terms, conditions, rules, policies, guidelines, or practices of Oil Career, your sole and exclusive remedy is to discontinue using the Services and, if you are a Member, to terminate your account. Oil Career will not provide any refund of charges paid by the Member to Oil Career. Should any disputes arise with respect to this Agreement, both parties agree to act immediately to resolve any such disputes. Time is of the essence in the resolution of disputes. Upon agreement by the parties, any disputes may be resolved through arbitration. The decision of the arbitrator shall be binding upon both parties. Sections 3, 5, 7, and 11 of this Agreement shall survive termination.

10. DISCLAIMER. Oil Career Employment Resource Center is a unique online resume distribution service. Oil Career Employment Resource Center is a resume forwarding company that provides online resume distribution services which can aid an individual in their job search. A client's resume is distributed to the oil companies in our database via email. Oil Career has no specialized contact or agreements with the oil companies to which a client's resume is distributed. The 26 major oil projects and 500 offshore rigs are just some of those currently available as part of various operations of some of the major oil companies to which we distribute resumes and in no way are to be construed as representing any specific positions available. The deadlines stated are those of Oil Career and in no way represent any of the oil companies or projects to which resumes are sent. These deadlines are subject to change without notice. The assistance we provide for work visas is by offering the client information that is necessary to obtain the proper work visas themselves. Oil Career does not work on behalf of any governmental agencies to provide work visas for its clients. We cannot guarantee any job placement as all hiring decisions are made by each individual oil company that receives a member's resume. Samples of the oil companies at www.oilcareer.com are meant to provide clients with an idea of the type of oil companies the can expect to receive their resume and in no way are indicative of specific oil companies within Oil Career' database. Oil Career in no way suggests that it has a formal business relationship with any specific oil company, nor do we suggest that any specific company is included in the email distribution packages we offer. Oil Career makes no guarantees or warranties, either express or implied, that every employer on our confirmation list is up to date and part of our employer database. Oil Career simply provides a way for its Members to get their resumes to a large list of oil companies by email in the easiest and most cost effective way available. Oil Career provides no guarantee of employment. After we distribute a Member's resume, we ask that the Member wait a full thirty (30) days before sending a request to have his or her resume distributed a second time. All sales are final and we offer no money back guarantees. Oil Career makes no express warranties or guarantees and waives all implied guarantees, including, but not limited to the guarantees at our website www.oilcareer.com. 11. JURISDICTION. This agreement is governed by the Province of Alberta law. The Alberta Provincial courts located in Alberta, Canada alone have jurisdiction over all disputes arising out of or related to this Agreement and the Services. You consent to the personal jurisdiction of such courts sitting in Edmonton, Alberta with respect to such matters or otherwise between you and Oil Career, and you waive your rights to removal or consent to removal.

12. MISCELLANEOUS. Oil Career may revise, amend, or modify this Agreement and any other user policies and agreements at any time and in any manner. Oil Career may assign this agreement to its successors or to any other organization without notice to the Member.
